The Little Stamford Co. – Wholesale Terms of Sale
1. Application of Terms
These Terms of Sale apply to all wholesale orders placed with The Little Stamford Co. ("the Company"). By placing an order, the customer ("the Retailer") agrees to be bound by these Terms. No variation to these Terms shall be binding unless agreed in writing by the Company.
2. Minimum Order Value
The minimum order value is £500 (excluding VAT and carriage, where applicable).
3. Delivery Charges
Orders with a value of £1,000 or more (excluding VAT) qualify for free standard mainland UK delivery.
Orders below £1,000 will incur a £10 carriage charge.
Additional delivery charges may apply for remote locations, international deliveries, or special delivery requests.
4. Lead Times
The Company aims to dispatch orders within 3–5 working days from receipt of cleared payment. Dispatch times are estimates only and shall not constitute a contractual guarantee. The Company shall not be liable for delays caused by circumstances beyond its reasonable control.
5. Payment Terms
All wholesale orders are supplied on a pro forma basis unless otherwise agreed in writing.
Payment must be made by BACS bank transfer, and cleared funds must be received before goods are dispatched.
6. Stock Availability
All orders are subject to stock availability. The Company reserves the right to amend, delay or cancel any order where stock is unavailable. Where appropriate, the Retailer will be notified and offered a suitable alternative or refund.
7. Pricing
The Company reserves the right to amend wholesale and recommended retail prices at any time without prior notice. Whilst price reviews are typically undertaken annually in January, this cannot be guaranteed.
Retailers are required to update their retail pricing promptly following notification of any price changes.
8. Brand Representation
The Retailer shall clearly identify The Little Stamford Co. as the manufacturer or brand owner.
All website listings must include "The Little Stamford Co." within the product title.
All social media content, advertising and promotional material featuring Company products must clearly reference The Little Stamford Co. Products must not be presented, rebranded or marketed as the Retailer's own products.
9. Online Advertising
The Retailer must not use Google Shopping, Google Product Listing Ads, or any paid advertising platform to advertise The Little Stamford Co. products without the Company's prior written consent.
10. Product Inspection and Claims
The Retailer must inspect all goods immediately upon receipt.
Any shortages, damage, defects or discrepancies must be reported in writing within 7 days of delivery.
Claims submitted after this period may not be accepted, and the Company reserves the right to refuse refunds, replacements or credits where goods have not been inspected within the required timeframe.
11. Storage of Products
Products must be stored in a cool, dry and dark environment, away from direct sunlight, excessive heat, moisture and humidity.
The Company accepts no liability for deterioration, discolouration or damage resulting from incorrect storage or display conditions.
Retailers should note that products, particularly those containing natural or organic ingredients, may naturally fade or discolour if exposed to ultraviolet light, shop window displays, heat or moisture.
12. Returns
No goods may be returned without the Company's prior written authorisation.
Returns approved by the Company must be received in their original, unused and resaleable condition.
The Company reserves the right to refuse returns that do not comply with these requirements.
13. Retention of Title
Legal ownership of all goods shall remain with The Little Stamford Co. until payment has been received in full and cleared.
Until ownership passes, the Retailer shall store the goods separately and clearly identify them as the property of The Little Stamford Co.
14. Intellectual Property
All trademarks, product names, branding, logos, photography, product descriptions and other intellectual property remain the exclusive property of The Little Stamford Co.
The Retailer may use Company-supplied marketing materials solely for the purpose of promoting genuine Company products and may not alter, reproduce or distribute such materials without prior written consent.
15. Product Images
Where product images are supplied by the Company, they may be used only in connection with the sale of genuine The Little Stamford Co. products. Images must not be altered in any way that misrepresents the products or the Company's brand.
16. Limitation of Liability
The Company's liability for any claim relating to goods supplied shall not exceed the purchase price of the relevant goods.
The Company shall not be liable for any indirect, consequential or economic loss, including loss of profits, business or goodwill.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability which cannot lawfully be excluded.
17. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including but not limited to natural disasters, industrial disputes, transport disruption, supplier shortages, pandemics, government action or acts of God.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
19. Amendments
The Company reserves the right to amend these Terms of Sale at any time. The latest version shall apply to all future orders placed after publication or notification.
20. Minimum Advertised Price (MAP) Policy
To protect the integrity and value of The Little Stamford Co. brand, Retailers must not advertise or offer any products below the Company's current Recommended Retail Price ("RRP") without the Company's prior written consent.
This policy applies to all forms of advertising and promotion, including but not limited to websites, online marketplaces, social media, email marketing, printed materials, paid advertisements and promotional campaigns.
The Company reserves the right to withdraw supply, suspend trading accounts or terminate the business relationship where a Retailer repeatedly breaches this policy.
Nothing in this clause shall prevent a Retailer from determining its own resale prices where prohibited by applicable competition law. This clause applies only to advertised pricing and is intended to operate in compliance with all applicable laws.
21. Exclusivity
Unless expressly agreed in writing by a director of The Little Stamford Co., no Retailer shall be granted exclusive rights to sell, distribute or market the Company's products within any geographical area, sales channel or customer sector.
The Company reserves the unrestricted right to appoint additional wholesale customers, distributors or stockists and to sell directly to consumers or other businesses through any sales channel.
Any exclusivity arrangement must be documented in a separate written agreement signed by both parties and may be subject to minimum purchase commitments, performance targets and other conditions determined by the Company.
22. Marketplace Sales
The Retailer shall not offer, advertise or sell The Little Stamford Co. products through third-party online marketplaces, including but not limited to Amazon, eBay, Etsy, Temu, Wish, OnBuy or any similar marketplace platform, without the Company's prior written consent.
Where written consent is granted, the Retailer must comply with any marketplace conditions, branding requirements, pricing policies and listing standards specified by the Company.
The Retailer must ensure that all authorised marketplace listings accurately represent the products and The Little Stamford Co. brand, including the use of approved product titles, descriptions and imagery where provided.
The Company reserves the right to require the removal of any marketplace listing that, in its reasonable opinion, misrepresents the brand, breaches these Terms, or is otherwise detrimental to the reputation of The Little Stamford Co.
Unauthorised marketplace sales may result in the immediate suspension or termination of the Retailer's wholesale account and the refusal of future orders.
